ARTICLE I-Name
The name of this organization shall be the California Community College AWS Users Group (CAUG).
ARTICLE II - Purpose
The purpose of this organization shall be:
ARTICLE III - Membership
Any California Community College District using the AWS product(s) is a member. The Chief Executive Officer (CEO) or Chief Information Systems Officer (CISO) of each member District will appoint its representative to CAUG. More than one representative from each District can attend and participate in meetings, however, each District will have only one vote. The representative's obligation is to maintain a positive and cooperative attitude in all discussions; to evaluate continuously any activities, which might involve CAUG, and to propose appropriate action; to communicate to the membership opinions on matters under consideration. The representative appointed should be knowledgeable of AWS products and related systems and should have decision-making authority related to the activities of CAUG. A member will be considered resigned when that District no longer actively uses AWS product(s).
ARTICLE IV -Officers
ARTICLE V - Duties of Officers
The Chair shall preside at all CAUG meetings and shall be responsible for the administration of the affairs of the organization, shall appoint committees as necessary, sign all papers on behalf of CAUG, carry out assignments and instructions given by vote of CAUG and perform other such duties as customarily pertain to the office of Chair. The Vice Chair shall conduct meetings as necessary in the event the Chair is not available. If the Vice Chair is not available then the Treasurer would preside at the meetings. If the Treasurer is not available then the Secretary would preside at the meeting. The representatives shall serve on committees as directed by the Chair.
ARTICLE VI - Meetings
Meetings shall be held quarterly. CAUG meetings will be held to promote interaction among users of any AWS products, to provide training and technical product overviews, and to review best practices of member Districts. Persons or organizations not meeting membership requirements may be invited to attend meetings if agreed to by the voting members.
ARTICLE VII - Standing Committees
Standing or ad hoc committees may be appointed or dissolved by the CAUG officers or as deemed necessary for the work of the Consortium. Each committee shall serve until their assignment has been completed or the committee is dissolved. Each committee shall keep a record of its activities and shall submit a report at each business meeting.
ARTICLE VIII - Parliamentary Authority
The rules that govern CAUG will be common rules of courtesy and Roberts Rules of Order.
ARTICLE IX - Amendments to the Bylaws
These bylaws can be amended at any regular meeting of CAUG by a two-thirds vote of those voting members attending or their designee, provided the amendment has been submitted in writing to the membership at least fifteen days in advance of the meeting.
ARTICLE X - Association Responsibility
CAUG supports AWS practice of sharing information about current and future products and services. This information, by its nature and by each District's licensing contract with AWS, is proprietary and confidential to AWS and embodies substantial and commercially valuable trade secrets of AWS. This information, when shared with the members, shall be considered available for use by and within the organizations of participating members.
